Visa”创无限“创新挑战赛(“挑战赛”)是由北京即联即用创业投资有限公司(“PNP”)主办,Visa环球私人有限公司(“Visa”)支持的虚拟和真人现场创新竞赛,旨在通过召集最有天赋、最具创新能力的开发与设计人员,打造最尖端的、与Visa产品有关的解决方案,以加速推动数字营销创新。本挑战赛受本文所述的条款(“条款与细则”)约束,并须遵守挑战赛开展地所有适用的国家、省和当地的法律。报名并提交解决方案并不意味着您会被邀请或保证有机会作为决赛选手现场参加决赛。挑战赛评委(“评委”)将从报名并提交解决方案的选手中,挑选参赛者,联系并邀请其成为决赛选手,现场参加挑战赛。
在提交解决方案的同时, (a) 您同意遵守所有适用的法律、本条款与细则,以及由PNP、Visa和/或其它与本挑战赛有关的指定方提供给您的任何其他指引或指示; (b) 如果您作为一个团队或公司的一部分参赛,您声明并保证您有权力约束您的团队或公司遵守本条款与细则,并且, (c) 您同意评委的所有决定都是最终的,对您和您的团队/公司有约束力。若受到法律禁止或限制,本挑战赛作废。
若本条款与细则与任何披露,或其他包含在任何与挑战赛相关材料中的说明之间有任何不一致或冲突,包括但不限于社交媒体、网站内容,以及电视、印刷品或网络广告, 以本条款与细则为准。
条款
1. 本挑战赛的宗旨
寻找提供创新解决方案的合作伙伴,在这个快速变化、日益更新的互联网时代,以革命性、颠覆性技术满足政府、企业和个人的更深层次的需求,就以下四大商业命题提供解决方案:
1)电子支付受理 :如何利用创新技术为消费者创造灵活、安全、便捷、有趣的电子支付体验?
2)数字化的忠诚计划:如何建立消费者与商户的双向数字化连接,实现精准营销?
3)公对公跨境付款解决方案:如何助力企业完成安全、优质、高效的全球跨境交易,提升品牌竞争力?
4)创新的电子钱包方式:如何通过各种途径和实现形式的电子钱包支付方案为更多消费者提供便捷及权益体验?
2. 挑战赛日程
初赛将通过网上注册报名和电子邮件提交解决方案进行。从2019年4月24日起至2019年5月26日之间(“提交期限”)接受报名注册和相应解决方案的提交。初赛将挑选最多15名选手参加决赛, 并于2019年6月5日或前后通知各选手,经确认的决赛选手将被邀请在2019年6月末由本人展示解决方案,具体安排将另行通知。获胜者名单将于2019年7月初在Visa官网进行公布。获胜者将受邀参加颁奖或项目对接活动,具体安排将另行通知。
如果需要检验参赛者是否遵守本条款与细则,或产生技术问题,或发生挑战赛组委会(“组委会”)认为不能根据本条款与细则,正常管理挑战赛的情形,组委会有权利在必要的范围内,未经事先通知自行决定对本条款与细则规定的任何日期或时间段作出调整。
3. 如何提交
您可以按照Visa官方微信(微信帐号:travelhappywithvisa)的指示进行操作,报名参加并向挑战赛提交解决方案。您有可能被要求在活动网站上行注册;该注册将受到PNP的服务条款和隐私权政策约束。作为注册流程的一部分,您必须准确填写要求的信息,并接受公布的条款与细则。
如果组委会未能在2019年5月26日或之前收到您的报名注册和提交的解决方案,您将失去参加挑战赛的资格。对任一特定议题,只接受每位提交者/团队提交的一份解决方案。在微信提交解决方案时,您必须说明与您的解决方案相对应的议题。此外,您可以通过电子邮件补充相关的参赛资料。
您应自行负责确保完成报名注册和解决方案的提交。 对于注册或解决方案出现任何丢失、延误、误送达、不可理解、不完整、损坏、乱码或无法送达的情况,或在传输、处理、接收或考虑注册或解决方案时发生的任何延迟或失败,组委会、PNP和Visa将不承担任何责任。
在提交期限结束后,如果您被组委会邀请作为决赛选手亲自参加挑战赛决赛,您将在2019年6月5日或前后收到电子邮件和/或电话通知,并应承诺将在由组委会规定的时限内将您的解决方案亲自展示给评委。在首次提交到亲自展示的期间内,您可以(但不要求)对解决方案进行进一步完善或修改。
4. 资格—参赛者
参赛者可为个人或团队。只有当您和您所有的团队成员(“团队”)都已年满18岁同时您和您的团队成员都是合法中国大陆居民,或您的团队在申请时是一家在中国大陆地区合法登记注册的公司,您才有机会注册参加挑战赛。此外,PNP和Visa的员工及其亲属将没有资格提交解决方案或参与挑战赛。
组委会可能要求提供身份、居住地、年龄的有效证明和其他相关文件,以及组委会可能以任何理由,包括但不限于如果组委会认为(单方面全权决定)所提供的证明不充分的情况,取消参与者的参赛资格。
组委会可能不经另行通知,在任何时候单方面全权决定,以任何理由取消任何注册者或参与者的参赛资格,包括但不限于:(a) 不满足挑战赛的资格条件;(b) 未能满足本条款与细则;(c) 试图按照本条款与细则所描述的方式以外的方式注册、提交解决方案,或参与挑战赛;(d) 使用贿赂手段干扰评审;或者使用欺诈、黑客以及其他不公正行为企图骚扰、谩骂、威胁其他参赛者、组委会、PNP以及Visa成员; (e) 用其他方式企图破坏本次活动应用之条款; (f) 在递交申请时被控或被诉侵犯任何第三方的权利或违反当地法律法规。
在注册、参加或接受挑战赛的奖励或其它认可时,您不需要购买任何物品或支付任何费用。但是,您和您的团队(如适用)须承担在开发解决方案、并在挑战赛中展示的过程中由您选择发生的所有费用。
如果您被选中成为本挑战赛的获奖者,您有可能不得参加未来其他由PNP和/或Visa组织、主持、赞助或资助的挑战赛。
5. 解决方案指导方针
开发与提交的挑战赛相关解决方案必须满足以下所有的标准,每项都由组委会自行决定:
a. 它必须提供新功能、特性或工具,解决以上四个议题中的任何一个。
b. 它必须包含一个新兴的数字或社会潮流。
c. 它必须至少是一个最小的可行产品(MVP),可轻松与Visa和合作伙伴公司的试点产品/服务整合。
d. 它不能包含、描绘、暗示或(明确的或以其他方式)涉及任何不恰当的、令人反感的,或不合适的语言、活动或其他内容。
e. 它不能包含、描述或涉及对Visa、挑战赛或任何其他人或实体进行贬低或负面描述的内容。
f. 它不能包含、描述或涉及任何不必要地引用第三方(个人或实体)的内容。
g. 它不能与Visa 的任何核心价值冲突,或令Visa无法接受。
h. 它不能包含违反任何法律或侵害任何第三方的知识产权、隐私权、人格权或其他权利(“第三方权利”)的内容。
i. 它不能包含恶意代码,无论是作为一个独立的应用体验,或者是与任何Visa的网络试点体验整合,其编程或设计的方式不可制造出信息安全风险或以其他方式损害解决方案的完整性。
如果组委会(单方面全权)决定解决方案不符合上述任何要求,或不符合本条款与细则,组委会可以不经另行通知,取消任何解决方案的参赛资格。
6. 您的附加陈述和保证
在提交解决方案的同时,您特此声明和保证:
a. 您满足所有本条款与细则中规定的参赛者的资格要求;
b. 您是该解决方案的原创者;
c. 对于该解决方案以及解决方案和演示文稿中的所有内容,您是唯一所有者,或您已获得所有必要的和适当的权利、许可和授权,使用其中包含的所有知识产权和专有权利;
d. 该解决方案是原创的,之前从未发表或获得任何奖励;
e. 该解决方案不会侵犯或违反任何第三方权利,并且PNP和Visa的以下行为也不会侵犯任何第三方权利:PNP或Visa(如适用)复制、展示、编辑、修改、传送或以其它方式使用与本挑战赛有关的解决方案、本挑战赛的出版物,或以下第11项所考虑的任何其他方式;并且
f. 该解决方案满足所有本条款与细则规定的资格要求。
7. 评判流程
评委将全权决定选择决赛选手。
由于我们正在寻找创新的想法和解决方案,所以对于评判解决方案没有一个单一的标准。将结合下标准,来评判解决方案:
a. 创新能力
b. 与Visa品牌价值统一性
c. 以用户角度出发制定解决方案的能力
d. 商业潜力
e. 使用的方便性
f. 为用户带来丰富的权益
g. 为商业伙伴增值的能力
h. 可扩展能力
i. 易于实施的能力
评委对于挑战赛各方面的决定将是最终的和有约束力的。
8. 获奖者
针对四个议题中的每一个议题,将评选出一至两名获奖选手。获奖者将通过电子邮件和/或电话收到通知。宣布某一决赛选手成为获奖者,并有资格获得挑战赛的一个奖项的条件是,他/她必须已经遵守,并始终遵守本条款与细则,并且必须签署并在规定期限内提交一份标准的声明和弃权表格,其中将包括:一份参赛者遵守本条款与细则的声明,一份表示原样接受提供的奖项的声明,一份允许宣传发布的声明,一份免责声明,以及任何其他组委会 酌情决定要求提供的文书。
参赛者承认并理解,作为决赛选手亲自出席挑战赛活动,他们可能会被拍照、录像和被Visa以其它方式记录(统称为“素材”),并可能被要求针对这些素材签署一份宣誓书和弃权声明。Visa 将永久拥有这些素材,并有权全部或部分使用、修改、改编、发布、流式发布、复制和利用这些素材和其中包含的所有元素,包括其中所包含的任何名字和肖像,在任何和所有的目前全世界已知的或之后创建的媒体中,用于广告、宣传、贸易和其他用途。
作为获得现金奖励的必要条件,决赛选手同意且确认由Visa支持的解决方案为委托作品。所有的版权及知识产权由产生日起即属Visa所有。Visa有权自行决定如何使用、复制、编辑和转让该解决方案。决赛选手明确表示放弃被命名为贡献者的权利。
组委会可能要求提供身份、居住地、年龄的有效证明和其他相关文件,以及组委会可能以任何理由,包括但不限于如果组委会认为(单方面全权决定)所提供的证明不充分的情况,取消参与者的参赛资格。
如果获奖通知因无法送达而被退回,或者如果选出的决赛选手在上述时限内不符合上述所有要求,或者没有在其他方面遵守本条款与细则,组委会可能取消决获奖者的资格。
组委会预计在2019年7月初或前后宣布获奖人员的姓名。
9. 奖品
现金奖励:每位获奖者将获得奖金奖励,用于解决方案的实际生产。将完全根据获奖者在现实中按照Visa制定的里程碑完成和执行解决方案的情况,分阶段颁发。获奖者将负责提供详细的进度计划,需经过Visa的审查和批准。该计划应包括诸如启动、框架模型、大致的原型、初步设计、alpha测试和beta测试和最后的问答等内容。获奖者也可能被要求在进度计划中加入其他内容。奖金的分期颁发将由组委会全权决定,根据计划中各里程碑的完成情况,确定各阶段适合的奖金金额。如果获奖者是团队提交,这笔奖金将只颁发给列出的相应团队联系人,组委会、PNP和Visa不对奖金在团队内的分配问题引起的争议承担任何责任。现金奖励和分期付款将以人民币银行转帐的形式支付。奖金的颁发适用于中国个人所得税相关条款,PNP在就上述奖金依法代扣代缴个人所得税后将剩余金额支付给获奖者。
非货币奖励:除了上述确定的金钱奖励,组委会有可能,但没有义务,向获奖者提供额外的权益,包括但不限于:
a. 进入亚太地区Fintech fast track
b. 可能与Visa签订合同,用于试点实施解决方案
c. 获得Visa和合作伙伴的高管提供与解决方案有关的指导
组委会可不经另行通知变更非货币性福利。所有奖励内容必须以授奖时的状态接受(不可替代),不得出售或转让。
组委会将尽合理的努力,将奖励送至获奖者提供的地址/帐户。但是组委会不能保证,任何由于提供的地址无法送达而被退还的奖励会被重新发送给获奖者。
10. 取消
如果因任何原因导致的任何不可抗力事件(包括由于程序错误、篡改、未经授权的干预、欺诈、技术故障、计算机病毒感染,或任何其他原因损坏、损害或影响本挑战赛的管理、安全、公平、诚信或适当进行所造成的结果),导致不能按计划展开挑战赛,组委会可自行决定取消、修改、延期或暂停该挑战赛。
组委会也可在不经另行通知的情况下,以任何理由取消任何参与者的参赛资格,这些理由包括(但不限于)任何篡改或以任何方式损坏申请流程,或者试图通过作弊、破解、欺骗或其他不正当行为,或试图激怒、辱骂、威胁或骚扰任何其他参赛人员或Visa的代表,破坏挑战赛的合法操作。
11. 知识产权
通过参加这个挑战赛,您承认并同意,任何想法、概念、数据、资料,或您在挑战赛内分享的与解决方案或挑战赛有关的信息不是机密的或专有的,并且Visa和他人可能在现在或将来以任何方式使用、结合或者披露任何部分,而您放弃针对Visa(或其关联公司)或任何本次挑战赛的参赛者和Visa(或其关联公司)使用或披露此类信息可能提出的任何和所有索赔。
通过提交申请和解决方案,您承认并同意,组委会可能收到和本挑战赛和/或Visa举办和/或宣传的其他挑战赛有关的众多解决方案,而这些解决方案可能与在本挑战赛和/或Visa运行的其他挑战赛上提交的其他有关解决方案,或以其他原因提交的解决方案,或Visa或其承包商开发的其他材料,在主题、想法、格式或其他方面彼此十分相似或相同。参赛人员/团队放弃参赛者可能曾经拥有、可能拥有和/或将来会拥有的,因以下情形而产生的任何及所有索赔: 任何Visa接受、审核和/或使用的任何解决方案和/或其他工程有可能和他/她的解决方案类似,或者与此解决方案或Visa使用的其他工程有关的应付给参赛者的任何补偿。
出于诚信,决赛选手在此授予Visa优先谈判权,作为参加挑战赛的条件,允许Visa收购他们的解决方案或其中的某些权利。尽管有前述规定,Visa没有义务订立合同,或者使用其解决方案。
此外,您特此授予Visa及其指定方在以下用途中获得不受限制的、免版权税的、永久的、不可撤销的、全球范围内的、可转授权的、可转让的许可(但无义务),供复制、传播、修改、展示、传输、公开表演、生产衍生作品,以及以其他方式使用您的解决方案软件和(全部或部分)解决方案,无需承担任何费用或其他形式的补偿,无需进一步的通知或许可:
a. 管理本挑战赛;
b. 将您标识为此解决方案的创建者;
c. 在决赛选手亲自演示日,和在目前已知或今后创建的全世界的任何和所有媒体上,展示部分或全部解决方案;以及
d.在任何媒体做广告,包括为本挑战赛、未来的挑战赛,以及Visa的产品和服务做广告。
作为获得现金奖励的必要条件,决赛选手同意且确认由Visa支持的解决方案为委托作品。所有的版权及知识产权由产生日起即属Visa所有。Visa有权自行决定如何使用、复制、编辑和转让该解决方案。决赛选手明确表示放弃署名权。
12. 宣传
除非法律另行禁止,参与挑战赛表明了参赛者同意Visa以宣传目的,不经进一步通知、无须许可或付款、支付对价而使用以下各项:参赛者和所有团队成员的姓名、声音、肖像和家乡名称,提及参赛者参加本挑战赛的性质,和在挑战赛活动中拍摄的照片和视频。代表一个团队提交解决方案,表示您声明和保证您已经从每个参赛团队成员处获得了同样的同意。
13. 免责声明、责任和赔偿
Visa不接受对任何解决方案的任何损失或损害承担责任,也不接受承担以下责任:由于您参加本挑战赛,或您接收、使用或兑换任何奖励或权益,或者是您无法接受、使用或兑换任何奖励或权益而直接或间接造成的任何其它损失或损害。
Visa不负责因以下事项而可能直接或间接对个人或财产,包括您的电脑造成的伤害或损害:(1)不正确或不准确的申请信息转录,或迟交的、丢失的、不完整的,误送达的解决方案,或通过不允许使用的渠道或非法渠道收到的申请或解决方案;(2)任何形式的技术故障,包括任何电话、计算机、网络、硬件或软件的故障;(3)任何服务的不可用或不可获得;(4)在挑战赛申请过程中的任何部分中未经授权的人为干预; (5)在管理挑战赛或者处理申请或解决方案的过程中可能发生的电子或人为错误;或者(6)任何全部或部分由于您参加本挑战赛,或者下载或使用任何Visa提供的材料。
对于任何与本挑战赛或本条款与细则有关的任何间接、特殊的、后果性的或惩罚性损害,Visa将不对您进行赔偿。
您在此弃权并同意赔偿且不向Visa及其员工、董事、管理人员、附属公司、代理商、评委、广告和宣传机构追究任何和所有损害、伤害、索赔、行动原因、责任或任何类型的损失(包括法律费用和开支),它们可能是已知或未知的、绝对或有条件的、现在或是在将来由以下引起或涉及以下各项:(A)您没有遵守本条款与细则的任一规定; (B)违反本条款与细则或其他约定向Visa作出任何虚假陈述; (C)您参加本挑战赛;或(D)您接受、使用或兑换任何奖励,或者是您无法接受、使用或兑换任何奖励。
14. 个人信息许可
您同意Visa 使用并披露您的个人信息,用于管理挑战赛;广告宣传挑战赛和任何未来的挑战赛或黑客马拉松和任何Visa的产品和服务;和用于在本条款与细则中所描述的其他目的。在Visa的隐私政策中可找到个人信息许可详情。
15. 法律
该挑战赛受美国法律管辖,并且您参加挑战赛即表明无论您居住在哪个国家,您都接受和同意受美国法律约束。
对本条款与细则的构成、效力、解释和可执行性,或对参赛者和Visa与挑战赛有关的权利和义务的所有问题和疑问,应受美利坚合众国联邦法律管辖并据此予以解释。除美国以外的任何国家的任何法律、法规或条例都不适用于本挑战赛的任何方面,或是本挑战赛的任何参赛者,即使这些参赛者是其他国家的合法居民,在这些国家经商,或以其他形式受这些国家的法律约束,并且如果应邀参加挑战赛,参赛者就此放弃并同意不根据除美国以外的任何国家的法律采取或寻求任何行动。
16. 争议
由本挑战赛、奖励,或本条款与细则产生的或与之有关的一切争议、索赔和行为起因将完全由美国的适格的法院单独解决,不诉诸任何形式的集体诉讼。此外,就这类争端,在任何情况下都不允许参赛者获得奖项,并特此放弃索赔惩罚性的、偶然或间接损失的所有权利,包括律师费、但参与者的实际发生的自付费用(与参赛相关的费用)除外,并且参赛者进一步放弃一切将损害成倍或增加的权利。就任何有关本挑战赛或参加本挑战赛的个人或公司的争议,争议解决的管辖范围和地点应由Visa决定,并需在美国进行,即使参赛者是其他国家的合法居民,在这些国家经商,或以其他形式受任何其他国家的法律约束。如果应邀参加挑战赛,参赛者就此放弃并同意不在Visa选择的美国以外的任何国家的司法管辖范围和地点寻求任何行动。

Terms & Conditions
The Visa Everywhere Initiative (“Challenge”) is a virtual and in-person innovation competition hosted by Beijing Plug and Play Startup Investment Co., Ltd (“PNP China”) ,and supported by Visa Worldwide Pte. Limited (“Visa”) that is designed to accelerate digital marketing innovation by bringing together the most talented and creative developers and designers to create cutting-edge solutions involving Visa products. The Challenge is governed by the terms set forth herein (“Terms and Conditions”) and is subject to all applicable national, provincial, and local laws of where the Challenge is launched. Signing up and submitting a solution for the Challenge does not mean that you will be invited or guaranteed the opportunity to participate in the Challenge in person as a finalist. From those who have signed up and submitted solutions, the judges of the Challenge (the “Judges”) will identify and contact those entrants who will be invited to participate in the Challenge in person as finalists.
By submitting a solution, (a) you agree to comply with all applicable laws, and to abide by these Terms and Conditions, and any other guidelines or instructions provided to you by PNP China, Visa, and/or their designees in connection with the Challenge, (b) if participating as part of a team or company, you represent and warrant that you have the authority to bind your team or company to these Terms and Conditions, and (c) you agree that all decisions of the Judges are final and binding on you and your team/company. The Challenge is void to the extent prohibited or restricted by law.
To the extent that there is any discrepancy or inconsistency between these Terms and Conditions and any disclosures or other statements contained in any Challenge-related materials, including but not limited to social media, website content, and television, print, or online advertising, the Terms and Conditions shall govern.
THE TERMS
1. The Challenge’s Purpose
To seek partners in this fast-changing era of internet, who can provide innovative solutions for the following four briefs (the “Briefs”) and satisfy the fundamental demand of governments, enterprises and individuals with revolutionary and disruptive technologies.
1) How can we create a flexible, secure, convenient and fun digital payment experience for consumers by leveraging innovative technologies?
2) How can we achieve targeted marketing to connect consumers and merchants with each other?
3) How can we help businesses conduct cross-border transactions securely and effectively, so as to enhance their brand competitiveness?
4) How can we provide more consumers with convenience and targeted benefits by using the digital wallet with various methods and implementation in payment solution?
2. Challenge Timeline
The preliminary round of the Challenge will take place via online registration and solution submission by email. Registrations and corresponding solutions will be accepted from April 24, 2019 to May 26, 2019 (“Submission Period”). Up to 15 finalists will be identified in the preliminary round. They will be notified on or about June 5, 2019,and the confirmed finalists will then be invited to present their solution in person by the end of June 2019, the details of which will be communicated in further notice. The list of winners will be published on Visa official website in early July,2019. The winners will be invited to attend the award event or match marketing event, the details of which will be communicated in further notice.
The Challenge Organizing Committee (“Committee”) reserves the right, in its sole discretion and without prior notice, to adjust any of the dates and/or timeframes stipulated in these Terms and Conditions, to the extent necessary, for purposes of verifying compliance by any participant with these Terms and Conditions, or as a result of technical problems, or in light of any other circumstances that, in the Committee’s opinion, affect the proper administration of the Challenge as contemplated in these Terms and Conditions.
3. How to Submit
You may sign up for and submit to the Challenge by following the instructions on the VISA WeChat page (WeChat ID: travelhappywithvisa). You may be required to register at the official website of the Challenge; such registration will be subject to PNP China’s Terms of Service and Privacy Policy. You must enter the required information accurately and accept the terms and conditions displayed as part of the registration process.
Your registration and solution submission must be received by the Committee on or before May 26th, 2019 to be considered for the Challenge. Only one submission per submitter/team will be accepted for any particular Brief. When you submit your solution through wechat, you must specify the brief to which your solution corresponds. You could also supplement more information through email if needed.
It is solely your responsibility to ensure that you have properly registered and submitted your solution. Neither the Committee, PNP China nor Visa will not be responsible for any lost, delayed, misdirected, incomprehensible, incomplete, damaged, garbled or undeliverable registrations or solutions, or any delay or failure to transmit, process, receive or consider registrations or solutions.
After the Submission Period has ended, if you are invited by the Committee to participate in the Challenge in person as a finalist, you will be notified by email and/or phone on or about June 5th, 2019 and required to commit to presenting in person to the Judges within the timeframe provided by the Committee. It is permitted but not expected or required that solutions be further developed or modified between initial submission and in-person presentation.
4. Eligibility – Participants
You can participate as an individual or a team. You may only register for the opportunity to participate in the Challenge if you and all participating team members (“Team”) are at least 18 years old and are all legal Mainland China residents, or your Team is a Mainland Chinese company legally registered at the time of application. In addition, employees of PNP China and Visa and their close relative will not be eligible to submit a solution or participate in the Challenge.
The Committee may request valid proof of identity, residency, age and other relevant documentation, and the Committee may disqualify a participant for any reason including, without limitation, if the Committee determines (in its sole discretion) that the provided proof is not sufficient.
The Committee may, without notice and at any time in its sole discretion, disqualify any registrant or participant for any reason, including but not limited to any registrant or participant who: (a) does not meet the Challenge’s eligibility criteria, (b) fails to comply with these Terms and Conditions, (c) attempts to register, submit a solution, or participate in the Challenge in any manner or through any means other than as described in these Terms and Conditions, (d) tampers with or in any way corrupts the judging process, or attempts to undermine the legitimate operation of the Challenge by cheating, hacking, deception, or other unfair practices, or by attempting to annoy, abuse, threaten or harass any other participants or the Committee or PNP China or Visa representatives, or (e) attempts to otherwise disrupt or undermine the Challenge or to circumvent any of these Terms and Conditions. (f) is claimed to infringe the rights of any third parties or breaches local laws and regulations in the submission.
You are not required to make any purchase or pay any fee to register, participate, or receive an award or other recognition in the Challenge. However, you and your Team (if applicable) are responsible for all expenses you may choose to incur in the course of developing your solution and presenting it at the Challenge.
If you are selected as the award recipient for this Challenge, you may be precluded from participating in other future challenges conducted, hosted, sponsored, or funded by PNP China and/or Visa.
5. Solution Guidelines
The solutions developed and submitted in connection with the Challenge must meet all of the following criteria, each as determined by the Committee in its sole discretion:
a. It must offer new functionality, features or tools that solve for one of the four Briefs identified above.
b. It must incorporate an emerging digital or social trend.
c. It must, at least, be a minimum viable product (MVP) that can be easily integrated into a pilot with Visa and partner
companies.
d. It must not contain, depict, imply or refer (explicitly or otherwise) to any inappropriate, objectionable, or unsuitable
language, activity or other content.
e. It must not contain, depict or refer to any content which disparages or refers negatively to Visa, the Challenge, or any
other person or entity.
f. It must not contain, depict or refer to any content which unnecessarily refers to any third party (person or entity).
g. It must not conflict with any of Visa’s core values, or otherwise be objectionable to Visa.
h. It must not contain any content that violates any law or any third party’s intellectual property, privacy, personality or
other rights (“Third-Party Rights”).
i. It must not contain malicious code or be coded or designed in such a way that it creates an information security risk or otherwise compromises the integrity of the solution, whether as a stand-along app experience or in conjunction with its integration with any Visa web pilot experience.
The Committee may disqualify any solution, without notice, if the Committee determines (in its sole discretion) that the solution does not comply with any of the above requirements or otherwise with these Terms and Conditions.
6. Your Additional Representations and Warranties
By submitting a solution, you represent and warrant that:
a. You satisfy all of the participant eligibility requirements set forth in these Terms and Conditions;
b. You are the original creator of the solution;
c. You are the sole owner of, or you have obtained all necessary and appropriate rights, licenses, and permissions to use, and all intellectual property and proprietary rights in and to, the solution and all content in and on the solution and your presentation;
d. The solution is original and has not been previously published or received any previous award;
e. The solution does not infringe or violate any Third-Party Rights, and neither PNP China nor Visa will infringe any Third-Party Rights when PNP China or Visa (as applicable) copies, displays, edits, modifies, transmits or otherwise uses the solution in connection with the Challenge, the publication of the Challenge, or in any other way contemplated in Section 11 below; and
f. The solution meets all of the eligibility requirements set out in these terms and conditions.
7. Judging Process
The Judges will select the finalist(s) in their sole discretion.
Because we are seeking innovative ideas and solutions, there is no single criteria on which we will judge your solution. Solutions will be judged on a combination of the following criteria:
a. Innovation Capability
b. In Alignment with Visa Band Value
c. Ability to Provide Solutions from Users’ Perspective
d. Business Potential
e. Ease of Use
f. Rich benefits for Users
g. Ability to Rapidly Add Value for Business Partners
h. Scalability
i. Ease of Implementation
Decisions of the Judges with respect to all aspects of the Challenge will be final and binding.
8. Award Recipients
One to two finalists will be selected to receive an award for each of the four Briefs. Winners will be notified by email and/or phone. In order for a finalist to be declared an award recipient and be eligible for an award in the Challenge, he or she must have complied with, and remain in compliance with, these terms and conditions, and must sign and deliver a standard declaration and release form within the timeframe provided, which will include: a declaration of the participant’s compliance with these terms and conditions, an acceptance of the award as provided, a publicity release, a liability release, and any other documentation that the Committee may require, in its discretion.
Participants acknowledge and understand by attending a Challenge event in person as a finalist that they may be photographed, videotaped and otherwise recorded by Visa (collectively, “Footage”) and may be required to sign an affidavit and release for such Footage. Footage will be owned by Visa which has the right to use, edit, adapt, post, stream, copy and exploit such Footage and all elements embodied therein, including any names and likenesses embodied therein, in whole or in part, in any and all media now known or hereafter devised throughout the world, in perpetuity, for advertising, promotional, trade and other purposes.
As a requisite to be granted the cash award, the finalists agree and confirm that the solution supported by Visa is entrusted works. All the copyright and other intellectual property right reside in Visa from the date it is created. Visa is entitled to use, copy, edit or transfer the solution at its sole discretion. The finalists also expressly waive the right to be named as attributor.
The Committee may request valid proof of identity, residency, age and other relevant documentation, and the Committee may disqualify a participant for any reason including, without limitation, if the Committee (in its sole discretion) that the provided proof is not sufficient.
If the award notification is returned as undeliverable or if the selected finalist does not comply with all of the above requirements within the above time frames, or does not otherwise comply with these terms and conditions, the Committee may disqualify the winner.
The Committee expects to announce the names of the award recipient in early July, 2019.
9. Award
Cash Award: Award money will be rewarded to each selected award recipient to be used toward the real-world production of their solution. And will be awarded in phases, based solely on the completion and execution of real-world solution milestones established by Visa and achieved by the award recipient. Award recipient will be responsible for providing a detailed schedule plan which must then be reviewed and approved by Visa. This schedule should include items such as kickoff, wireframes, rough prototype, initial designs, alpha & beta tests, and final Q&A. Award recipient may be required that the schedule include other items as well. Installments from the cash award will be paid in such as amounts as the Committee determines appropriate for each scheduled milestone achieved as determined by the Committee in its sole discretion. If the award recipient is a Team submission, the award money will be distributed solely to the point of contact listed for the applicable Team. The Committee, PNP China or Visa is not liable for any disputes that may arise from award money distribution within the Team. Cash award and installments will be provided in the form of a bank transfer in Chinese currency. The award money will be subject to relevant Individual Income Tax provisions in China, which will be withheld and paid on behalf of the winner by PNP China, with the remainder to be paid to the winner.
Non-monetary Award: Aside from the monetary award identified above, the Committee may, but is not obligated to, make additional benefits available to the award recipient including, but not limited to:
a. The access to the fintech fast track in the Asia-Pacific region
b. A potential contract with Visa to pilot their solution
c. Mentorship from Visa and Partner Executives in connection with the solution
The non-monetary benefits are subject to change by the Committee without notice. All award items must be accepted as awarded (with no substitutions), and may not be sold or transferred.
The Committee will make reasonable efforts to deliver award to the address/account provided by the award recipient. However, the Committee cannot guarantee that any award returned due to non-delivery at the provided address will be re-sent to the award recipient.
10. Cancellation
If for any reason the Committee cannot run the Challenge as planned due to any force major events (including as a result of bugs, tampering, unauthorized intervention, fraud, technical failures, infection by computer virus or any other cause that corrupts, impairs or affects the administration, security, fairness, integrity, or proper conduct of this Challenge), the Committee may cancel, modify, extend or suspend the Challenge in its sole discretion.
The Committee may also disqualify any individual for any reason, without notice, including (but not limited to) any individual who tampers with or in any way corrupts the application process, or who attempts to undermine the legitimate operation of the Challenge by cheating, hacking, deception, or other unfair practices, or by attempting to annoy, abuse, threaten or harass any other participants or Visa representatives.
11. Intellectual Property Rights
By participating in this Challenge, you acknowledge and agree that any ideas, concepts, data, materials, or information related to your solution or the Challenge that you share in connection with the Challenge are not confidential or proprietary, and Visa and others may use, incorporate or disclose any of them now or in the future in any manner, and you waive any and all claims that you may have against Visa (or its affiliates) or anyone participating in this Challenge and Visa (or its affiliates) for such use or disclosure.
By submitting an application and solution, you acknowledge and agree that the Committee may receive many solutions in connection with this Challenge and/or other Challenges staged and/or promoted by the Visa, and that such solutions may be similar or identical in theme, idea, format or other respects to other solutions submitted in connection with this Challenge and/or other challenges operated by Visa or submitted for other reasons or other materials developed by Visa or its contractors. Participants/Teams waive any and all claims participant may have had, may have, and/or may have in the future, that any solution and/or other works accepted, reviewed and/or used by Visa may be similar to his/her solution, or that any compensation is due to participant in connection with such solution or other works used by Visa.
Finalists hereby grant to Visa, as a condition of participation in the Challenge, the right of first negotiation, which shall be done in good faith, for Visa to acquire certain rights in and to their solutions. Notwithstanding the foregoing, Visa shall have no obligation to enter into a contract, or make use of the solution.
In addition, you hereby grant to Visa and its designees the unrestricted, royalty-free, perpetual, irrevocable, worldwide, sublicensable, assignable, license (but not the obligation) to reproduce, communicate, modify, display, transmit, publicly perform, make derivative works from, and otherwise use your solution software and solution (in whole or in part) without any fee or other form of compensation, and without further notification or permission, for the following purposes:
a. administering the Challenge;
b. identifying you by name as the creator of the solution;
c. displaying some or all of the solutions at the in person finalist pitch day, and in any and all media now known or hereafter devised, worldwide; and
d. advertising in any media, including to advertise the Challenge, future challenges, and Visa’s products and services.

12. Publicity
Except where otherwise prohibited by law, participation in the Challenge constitutes a participant’s consent to Visa’s use of the participant’s and all team members’ name, voice, likeness and home town name, mention of the nature of participant’s participation in the Challenge and photographs and video taken at the Challenge events, for promotional purposes without further notification, permission, payment or consideration. By submitting a Solution on behalf of a team, you are representing and warranting that you have secured the same consent from each participating team member.
13. Disclaimers, Liability and Indemnification
Visa does not accept liability for any loss or damage of any solution or for any other loss or damage resulting directly or indirectly from your participation in the challenge or your receipt, use or redemption of any award or benefits, or your inability to receive, use or redeem any award or benefits.
Visa is not responsible for any injury or damage to persons or property, including your computer, which may be caused, directly or indirectly, in whole or in part, from: (1) incorrect or inaccurate transcription of application information or late, lost, incomplete, misdirected solutions, or applications or solutions received through impermissible or illegitimate channels; (2) technical failures of any kind, including the malfunctioning of any telephone, computer, network, hardware or software; (3) the unavailability or inaccessibility of any service; (4) unauthorized human intervention in any part of the application process of the challenge; (5) electronic or human error which may occur in the administration of the challenge or the processing of applications or solutions; or (6) your participation in the challenge or from downloading or using any material provided by Visa.
Visa will not be liable to you for any indirect, special, consequential, or punitive damages in connection with the challenge or these terms and conditions.
You hereby release and agree to indemnify and hold harmless Visa and its employees, directors, officers, affiliates, agents, judges and advertising and promotional agencies from any and all damages, injuries, claims, causes of actions, liability or losses of any kind (including legal fees and expenses), known or unknown, absolute or contingent, now or in the future arising from or related to: (a) your failure to comply with any of these terms and conditions; (b) any misrepresentation you make in violation of these terms and conditions or otherwise to Visa; (c) your participation in the challenge; or (d) your receipt, use or redemption of any award, or your inability to receive, use or redeem any award.
14. Personal Information Consent
You consent to Visa using and disclosing your personal information for the purposes of administering the Challenge; advertising the Challenge and any future challenges or hackathons and any of Visa’s products and services; and for the other purposes described in these terms and conditions. 15. Law
This challenge is governed by us law and your participation in the challenge constitutes your acceptance and agreement to be bound by us law, regardless of the country in which you reside.
All issues and questions concerning the construction, validity, interpretation and enforceability of these terms and conditions, or the rights and obligations of participants and Visa in connection with the Challenge, shall be governed by, and construed in accordance with the federal laws of the United States of America. No laws, rules or regulations of any country other than the United States shall apply to any aspect of the Challenge, or any participants in the Challenge, even if such participants are legal residents, doing business in, or otherwise subject to the laws of any such countries, and if invited to participate in the Challenge, participants hereby waive and agree not to apply or pursue any actions under the laws of any country other than the United States.
16. Disputes
All disputes, claims and causes of action arising out of or connected with the Challenge, awards or these terms and conditions will be resolved individually, without resort to any form of class action, and exclusively by the appropriate court of the United States. Further, in any such dispute, under no circumstances will participants be permitted to obtain awards for, and hereby waive all rights to claim, punitive, incidental or consequential damages, including attorneys' fees, other than participant’s actual out-of-pocket expenses (e.g., costs associated with participating), and participant further waives all rights to have damages multiplied or increased. To the extent of any disputes with respect to the Challenge, or a person or company’s participation in the Challenge, the jurisdiction and venue for resolution of such disputes shall be determined by Visa and be in the United States, even if participants are legal residents, doing business in, or otherwise subject to the laws of any other countries, and if invited to participate in the Challenge, participants hereby waive and agree not to pursue any actions in any jurisdiction or venue other than the jurisdiction and venue in the United States selected by Visa.
